Abstract: The legal framework governing non-voting depository receipts (NVDRs) in Vietnam is currently still basic and requires amendments for successful issuance and trading in the Vietnamese stock market. This article aims to analyze key aspects to propose recommendations for enacting comprehensive legislation regarding NVDRs. Its scope for research covers: (i) identification NVDRs, their legal characteristics, and their role in the Vietnamese context; (ii) examining the relationships between parties involved in NVDR transactions and the connection between NVDRs and other types of securities; (iii) identifying essential considerations for establishing NVDR-related regulations in Vietnam.
