Abstract: This research examines the evolution of telematic general meetings of shareholders, focusing on the regulatory changes introduced due to the COVID-19 pandemic. Initially limited in the Capital Companies Act, these meetings have been significantly reformed to accommodate virtual formats. The study covers the different types of telematic meetings, including hybrid and exclusively telematic, and analyzes the relevant regulations, particularly those affecting virtual meetings without shareholders' physical presence. It also addresses key requirements for implementing these meetings, such as statutory provisions, quorum for amending bylaws, and meeting announcements. Finally, the research highlights the challenges, especially regarding the reliable identification of participating shareholders.
