Understanding the Economic and Legal Framework of State Corporate Rights

Year: 2025
Type: article
Abstract: The article offers a thorough theoretical and methodological examination of state corporate rights, which are essential to the public sector within the national economy. This research is particularly relevant as it seeks to establish foundational concepts that enable the corporate sector with state involvement to function effectively, balancing the commercial interests of businesses with the strategic priorities of the government. It tackles several critical issues related to the management of state corporate rights. The author explores various dimensions of state corporate rights, highlighting their dual nature as both property rights and tools for executing economic policies. Additionally, a multitiered classification of state corporate rights is proposed, based on factors such as acquisition method, share size, industry, the nature of powers involved, etc. This classification serves as a basis for crafting tailored management mechanisms. The article aims to offer a thorough analysis of the economic nature of the state’s corporate rights while highlighting their unique characteristics and the mechanisms for their implementation amid contemporary economic changes. The study delves into the institutional framework governing state corporate rights management, uncovering its fragmentation and the lack of coordination among different governing bodies. Attention is particularly drawn to the legislative modifications introduced in March 2024, aimed at liberalizing state property management policies while aligning with OECD corporate governance principles. Moreover, the paper investigates the distribution of state corporate rights among the statutory capitals of economic entities, revealing a stark divide between companies with full state ownership and those with only minority state investment. This research contributes significantly to the development of methodologies for assessing the effectiveness of state corporate rights management, taking into account industry characteristics, the size of state shares, and the organizational and legal forms of economic entities. The author also suggests pathways for enhancing the management mechanisms of state corporate rights, drawing on international best practices while considering the unique aspects of the national economy.
