Abstract: 电子商务经营者市场主体登记制度在规范电子商务经营者行为上具有举足轻重的作用，同时电子商务市场主体制度也涉及商事主体登记制度，二者的良好衔接，有利于促进电子商务的健康发展。对此，本文主要讨论了电子商务经营者市场主体登记制度的具体规定与商事主体制度的衔接问题。首先，基于《市场主体登记管理条例》和《公司法》的规定，介绍了商事主体登记制度。其次，介绍了《电子商务法》关于电子商务经营者市场主体登记制度的内容和具有特色的登记豁免制度。最后，提出了衔接电子商务市场主体登记制度和商事登记制度的措施。The market entity registration system for e-commerce operators plays a crucial role in regulating the behavior of e-commerce operators. Meanwhile, the market entity system for e-commerce also involves the commercial entity registration system. The smooth connection between the two is conducive to promoting the healthy development of e-commerce. In this regard, this article mainly discusses the connection issues between the specific provisions of the market entity registration system for e-commerce operators and the commercial entity system. Firstly, based on the provisions of the “Regulations on the Administration of the Registration of Market Entities” and the “Company Law”, the registration system of commercial entities is introduced. Secondly, the contents of the E-commerce Law regarding the market entity registration system for e-commerce operators and the distinctive registration exemption system were introduced. Finally, measures for connecting the registration system of e-commerce market entities and the commercial registration system are proposed.
