This article examines the issue of judicial protection of minority shareholders' rights and interests.Shareholders with minor stakes in a company's authorized capital often find their rights to participate in management and access information effectively limited, with minimal ability to influence decision-making.The primary mechanism for protecting these rights is the ability to challenge the decisions of a legal entity's management bodies in court, provided that the shareholder's rights or legal interests have been violated.Judicial practice in this area demonstrates a gradual shift towards recognizing that shareholders' corporate rights are not limited solely to the right to vote.In some rulings, courts have noted that participation in general meetings includes the opportunity for shareholders to discuss agenda items, make proposals, and influence the positions of other participants, even if their stake is insignificant. At the same time, in other cases, courts justify their refusal to grant a shareholder's claim by stating that successful protection requires proof of a specific violation of rights or interests, not just a formal procedural non-compliance with the law or charter. This approach aims to strike a fair balance between the interests of the majority and the minority and to prevent the abuse of the right to judicial protection.Special attention is given to disputes arising from the compulsory buyout of minority shareholders' shares (squeeze-out).In these cases, minority shareholders typically challenge the buyout terms and the fairness of the determined price.Courts have taken different approaches to resolving these disputes: on one hand, they recognize the right to compensation if the share value is understated, while on the other, they tend to consider the squeeze-out procedures themselves as not subject to challenge. This highlights the need for further development of judicial practice and improvement of the mechanisms for protecting minority shareholders.
