Abstract: يهدف هذا البحث الذي هو بعنوان: ضوابط صياغة عقد البيع الدولي للبضائع وفق اتفاقية فيينا 1980م، إلى التعرف على ضوابط صياغة عقد البيع الدولي وفق اتفاقية فيينا بشأن البيع الدولي للبضائع، وبيان نطاق تطبيقها ، ومعرفة بعض الإشكالات المتعلقة بها، واقتراح حلول، ووضع ضوابط، وأسس قانونية تكون قابلة للتطبيق العملي يسترشد بها الصائغ عند صياغة عقد البيع الدولي للبضائع. وألقت الدراسة الضوء على الضوابط القانونية عند الصياغة ، مع بيان أهمية الصياغة القانونية السليمة والجيدة . وتعد الصياغة الجيدة لعقود البيع الدولي للبضائع من الموضوعات التي تثير بعض الإشكالات العلمية، والقانونية المهمة، مثل ما هي الضوابط القانونية المتعلقة بصياغة عقد البيع الدولي للبضائع وفق اتفاقية فيينا ؟وكيفية تحديد الثمن، وطرق بيان التزامات الأطراف المتعاقدة عند الصياغة. ولحل هذه المشكلة تم الاعتماد على المنهج الوصفي والتحليلي، وذلك من خلال دراسة النصوص القانونية، وتحليلها، ومقارنتها بالواقع التشادي، وإيجاد بعض الحلول لها. وتوصلت الدراسة إلى أن صياغة عقد البيع الدولي للبضائع وفق ضوابط قانونية واضحة، ومتناسقة، وموافقة لقواعد التجارة الدولية، تجعل من تنفيذه سلسا، ويجنب الأطراف الوقوع في الخلاف، أو النزاع القضائي. كما خلصت الدراسة إلى جملة من التوصيات الرامية إلى تعزيز هذا الشأن، منها: على طرفي العقد عند صياغة عقد بيع دولي للبضائع الالتزام بقواعد التجارة الدولية، ومعرفة فنون الصياغة السليمة، وضرورة مراجعة الاتفاقية لتتناول بعضا من الشروط المتعلقة بالمحل(البضائع). وأوصت الدراسة أيضا الحكومة التشادية للعمل على سن قانون مدني تشادي ينظم عقود البيع ، وتكليف كليات القانون بإضافة مادة أصول الصياغة القانونية ليسهم في تأهيل كوادر قادرين على صياغة عقود بيع دولي للبضائع بصورة سليمة. This research, entitled “Legal Guidelines for Drafting International Contracts for the Sale of Goods According to the Vienna Convention of 1980,” aims to examine the United Nations Convention on Contracts for the International Sale of Goods (CISG). The study seeks to identify its scope of application and the challenges related to its implementation, as well as to propose solutions and establish practical legal guidelines that can be relied upon by legal drafters when preparing international sales contracts. The study highlights the legal rules governing contract drafting, while emphasizing the importance of accurate and sound legal drafting in international commercial transactions. Drafting international contracts for the sale of goods raises several important academic and legal issues, including determining the legal rules governing the drafting of international sales contracts under the Vienna Convention, the methods for determining the price, and the ways of defining the obligations of the contracting parties at the drafting stage. To address these issues, the study adopts both the descriptive and analytical approaches by examining and analyzing relevant legal texts and comparing them with prevailing practices in international trade in order to identify appropriate legal solutions. The study concludes that drafting international contracts for the sale of goods according to clear and coherent legal rules, and in accordance with the principles of international trade, facilitates their effective implementation and helps the parties avoid potential disputes and litigation. The study also provides a number of recommendations aimed at strengthening this field, including the need for parties involved in drafting international sales contracts to comply with international trade rules and to master the techniques of proper legal drafting. It also recommends reviewing certain provisions of the Convention related to the carriage of goods. Furthermore, the study recommends that the Chadian government work toward enacting a civil code regulating sales contracts, and that law faculties introduce a course on the principles of legal drafting in order to prepare qualified professionals capable of properly drafting international contracts for the sale of goods.
