Beyond “Corporate Venture Capital”: Separating CVC vehicles from direct corporate investing in IPO offer structure

Year: 2026
Type: article
Abstract: Research often collapses corporate startup investment into a unitary corporate venture capital (CVC) category, even though corporations invest through dedicated CVC vehicles or directly from operating companies. We examine whether this organizational locus is associated with initial public offering (IPO) proceeds and offer design using 908 Japanese IPO firms from 2000 to 2023. Once corporate investment is disaggregated, direct corporate investment is negatively associated with IPO proceeds, secondary-sale share, and secondary-sale value, whereas vehicle-based CVC shows no statistically clear association. The broad corporate-investor indicator is also insignificant, consistent with the possibility that aggregation can conceal an interpretable relationship. The results remain robust to controls for founder-CEO status, board size, and the proportion of outside directors; initial returns do not differ significantly. The pattern is consistent with direct-corporate-backed IPOs being more financing-oriented and less oriented toward incumbent shareholder exit, although the analysis is associational. Distinguishing organizational locus therefore clarifies IPO purpose and offer design and may help founders, investors, underwriters, and corporations interpret what corporate backing represents.
