Jane Street Case Marks a Turning Point in SEBI's Index Governance Strategy
Year: 2025
Type: article
Abstract: The Securities and Exchange Board of India (SEBI), as the central regulatory body governing Indian capital markets, has recently intensified its focus on index governance following allegations of index manipulation involving Jane Street, a global trading firm. This paper examines the pivotal implications of the Jane Street case for SEBI’s index governance strategy, regulatory philosophy, and legal framework. The case, emerging amid growing concerns over passive investing, algorithmic trading, and institutional concentration in index construction, marks a critical juncture in India’s market regulation discourse. By exploring the trajectory of the investigation and the broader policy response, this study aims to evaluate SEBI’s evolving approach to maintaining transparency, fairness, and integrity in benchmark indices. Drawing on primary legal statutes, regulatory reports, and global best practices, the paper highlights how the Jane Street case acted as a catalyst for tightening disclosure norms, redefining the roles of index providers, and establishing direct regulatory oversight mechanisms. The analysis employs a comparative regulatory lens, juxtaposing SEBI's post-crisis responses with similar actions by global counterparts such as the U.S. Securities and Exchange Commission (SEC) and the Financial Conduct Authority (FCA) in the UK. Furthermore, the paper humanizes the discussion by considering investor trust, stakeholder responsibilities, and ethical considerations involved in index manipulation. The findings underscore the necessity for a proactive and dynamic governance structure in India’s financial ecosystem, where the regulation of market infrastructure institutions like index providers becomes paramount. This study ultimately provides insights and recommendations to reinforce SEBI’s regulatory toolkit, ensuring robust market safeguards in a rapidly evolving financial landscape.
